This Amending Agreement is made as of the date of last signature

BETWEEN: HER MAJESTY THE QUEEN IN RIGHT OF CANADA, as represented by the Minister of Infrastructure and Communities (“Canada”)

AND: HER MAJESTY THE QUEEN IN RIGHT OF ALBERTA, as represented by the Minister of Infrastructure (“Alberta”)

individually referred to as a “Party” and collectively referred to as the “Parties”.

WHEREAS the Minister of Infrastructure and Communities is responsible for the Investing in Canada Infrastructure Program and wishes to provide financial support to Alberta for Projects under the Canada – Alberta Integrated Bilateral Agreement for the Investing in Canada Infrastructure Program (“the Agreement”);

WHEREAS the Government of Canada proposes to increase its commitment to Alberta from up to a maximum $3,397,857,039 to up to a maximum $3,647,157,039 in four key areas: public transit; green infrastructure; community, culture and recreation infrastructure; and rural and northern communities infrastructure;

WHEREAS the Parties entered into an Agreement dated April 3, 2018 setting out the terms and conditions for Canada’s contribution funding to Alberta under the Investing in Canada Infrastructure Program;

AND WHEREAS the Parties wish to amend the Agreement to direct the increased contribution funding of $249,300,000 to Alberta to investments in green infrastructure to Projects under the climate change mitigation sub-stream (“Amending Agreement No. 1”);

NOW THEREFORE, the Parties agree as follows:

1. Amendments to the Agreement

• 1.1.The paragraph b) of Section 3 (Commitments by Canada) of the Agreement is deleted and replaced by:
  Canada agrees to provide contribution funding to Alberta under the green infrastructure stream of the Program in a total amount not to exceed one billion two hundred and fifty million three hundred and eighty-two thousand eight hundred seventy-one dollars ($1,250,382,871) to be paid in accordance with Schedules A.1 (General Program Requirements) and A.3 (Green Infrastructure).


• 1.2 The paragraph b) (Canada’s Contribution) of Schedule A.3 (Green Infrastructure) is deleted and replaced by:

        Canada’s total contribution funding for all Projects under the green infrastructure stream will be allocated in accordance with the estimated maximum amounts in the Green Infrastructure Fiscal Year Breakdown Table, as amended through administrative processes:
     2. Allocation to Sub-Streams
        Alberta agrees to allocate a minimum of six hundred ninety-nine million, seven hundred eighty-seven thousand, two hundred ninety-two dollars ($699,787,292) of Canada’s allocation under paragraph b) of Section 3 (Commitments by Canada) to Projects under the climate change mitigation sub-stream, subject to the provisions in Section 16 (Administrative Expenses).

2. Effect of Amendments

• 2.1 All capitalized terms not otherwise defined herein have the meaning ascribed to them in the Agreement.
• 2.2 Except for the amendments provided for in this Amending Agreement No. 1, the obligations, covenants, and terms and conditions set forth in the Agreement will continue to remain in full force and effect.
• 2.3 This Amending Agreement No. 1 may be signed in counterpart, and the signed copies will, when attached, constitute the original Amending Agreement No. 1 and will form part of the Agreement.
• 2.4 This Amending Agreement No. 1 shall be effective as of the date of last signature of this Amending Agreement No. 1.

3. Signatures

This Amending Agreement No. 1 has been executed on behalf of Canada by the Minister of Infrastructure and Communities and on behalf of Her Majesty the Queen in right of the Province of Alberta by the Minister of Infrastructure.
